باستخدامك موقع nithami.ai أو بالتسجيل فيه أو باشتراكك في خدمة «نِظامي»، فإنك تقرّ بأنك قرأت هذه الشروط ووافقت عليها. إن لم توافق عليها، فالرجاء عدم استخدام الخدمة. By using nithami.ai, registering on it, or subscribing to the Nithami service, you confirm that you have read and accepted these terms. If you do not accept them, please do not use the service.

تُقرأ هذه الشروط مع سياسة الخصوصية، وهي جزء لا يتجزأ منها. These terms are to be read together with our Privacy Policy, which forms part of them.

٣ما هي الخدمةWhat the service is

«نِظامي» خدمة اشتراك شهري تمنحك مساعداً تنفيذياً، وهو وكيل ذكاء اصطناعي خاص بك، له بريده الإلكتروني وتقويمه. يتابع مهامك، ويحجز مواعيدك ويعدّلها، ويرد على البريد الذي يصله ويلخّصه، ويبحث عن المعلومات حين تحتاج المهمة إلى ذلك، ويستقبل تعليماتك على واتساب نصاً أو رسالة صوتية، بالعربية أو الإنجليزية. ولا يعمل على بريدك وتقويمك الحقيقيين إلا إذا اخترت أن تربطهما به. Nithami is a monthly subscription that gives you an executive assistant: an AI agent of your own, with its own email address and calendar. It keeps track of your tasks, books and changes your appointments, replies to and summarises the mail it receives, looks things up when a task needs it, and takes your instructions on WhatsApp as text or a voice note, in Arabic or English. It works on your own email and calendar only if you choose to connect them.

يعمل «نِظامي» بالذكاء الاصطناعي. نقول ذلك صراحةً لأنك تستحق أن تعرفه: ما يكتبه مساعدك يولّده نظام آلي، لا موظف بشري. ويمكنك في أي وقت طلب التحدث إلى شخص من فريقنا عبر info@nithami.ai. Nithami is powered by artificial intelligence. We say so plainly because you deserve to know: what your assistant writes is generated by an automated system, not written by a member of staff. You can ask to speak to a person on our team at any time at info@nithami.ai.

لمساعدك تقويم خاص به، يحجز عليه المواعيد ويعدّلها. ولا يرتبط بتقويمك أنت إلا إذا اخترت ذلك، ويعمل حالياً مع تقويم Google فقط. Your assistant has its own calendar, where it books and changes appointments. It connects to your own calendar only if you choose, and currently works with Google Calendar only.

٤من يحق له الاشتراكWho can subscribe

• أن يكون عمرك ١٨ عاماً فأكثر وتتمتع بالأهلية النظامية الكاملة. You must be 18 or over and have full legal capacity.
• أن يكون رقم الجوال الذي تسجّله مملوكاً لك ومرتبطاً بحساب واتساب نشط. The mobile number you register must be yours and linked to an active WhatsApp account.
• الخدمة مصمّمة لشخص واحد، ولكل شخص اشتراك مستقل. The service is designed for one person, with one subscription per person.

٦الإلغاء والاستردادCancellation and refunds

حقك النظامي خلال ٧ أيامYour statutory 7-day right

وفقاً لنظام التجارة الإلكترونية السعودي، يحق لك الإلغاء خلال سبعة أيام من تاريخ التعاقد على الخدمة مع استرداد كامل المبلغ، ما لم تكن قد استخدمت الخدمة أو حصلت على منفعة منها. وبمجرد أن يبدأ مساعدك بتولي مهامك أو مواعيدك أو مراسلاتك أو رسائلك، تكون قد انتفعت بالخدمة وينقضي هذا الحق النظامي، ويبقى لك الإلغاء في أي وقت كما هو موضّح أدناه. Under the Saudi E-Commerce Law you may cancel within seven days of contracting for the service and receive a full refund, provided you have not used the service or obtained a benefit from it. Once your assistant has started handling your tasks, appointments, correspondence or messages, you have had the benefit of the service and this statutory right is spent. You can still cancel at any time, as set out below.

الإلغاء في أي وقتCancelling at any time

يمكنك الإلغاء متى شئت، بلا سبب وبلا رسوم: راسلنا على info@nithami.ai من البريد الذي سجّلت به. يسري الإلغاء من نهاية الشهر المدفوع، وتبقى الخدمة متاحة لك حتى ذلك التاريخ. You can cancel whenever you like, without giving a reason and without a fee: email info@nithami.ai from the address you registered with. Cancellation takes effect at the end of the month you have paid for, and the service stays available to you until then.

إذا قصّرنا نحنIf we fall short

إذا لم نتمكن من تقديم الخدمة لسبب يرجع إلينا، أو إذا أنهينا اشتراكك دون مخالفة منك، نردّ إليك قيمة المدة غير المستخدمة. ولا تمنعك هذه الشروط من أي حق يمنحك إياه النظام. If we cannot deliver the service for a reason on our side, or we end your subscription without any breach by you, we refund the unused portion. Nothing in these terms takes away a right the law gives you.

٧حدود الخدمة: اقرأ هذاLimits of the service: read this

• ما يكتبه مساعدك قد يكون خاطئاً. «نِظامي» يعمل بالذكاء الاصطناعي، وهذه الأنظمة تُخطئ أحياناً وتُنتج معلومات غير دقيقة أو ناقصة. راجع ما يُعرض عليك، وتحقّق قبل التصرّف بناءً على أي معلومة مهمة. What your assistant writes can be wrong. Nithami runs on artificial intelligence, and such systems sometimes produce inaccurate or incomplete information. Review what is put to you, and verify before acting on anything important.
• ليست استشارة مهنية. لا يقدّم «نِظامي» استشارة طبية أو قانونية أو مالية أو ضريبية أو شرعية، ولا يغني عن مختص مرخّص. ولا تعتمد عليه في أمر صحي أو مالي أو قانوني. Not professional advice. Nithami does not give medical, legal, financial, tax or religious advice and is no substitute for a licensed professional. Do not rely on it for a health, money or legal matter.
• التذكيرات وسيلة مساعدة لا ضمان. قد يتأخر تذكير أو لا يصل لأسباب خارجة عن إرادتنا، كانقطاع الشبكة أو عطل في واتساب أو إعدادات جهازك. Reminders are an aid, not a guarantee. A reminder may be delayed or fail to arrive for reasons outside our control, such as a network outage, a WhatsApp fault, or your device settings.
• ما يفعله مساعدك باسمك محدود بما وصفناه هنا، وبما تطلبه منه. What your assistant does on your behalf is limited to what is described here, and to what you ask of it.

٨واتساب وشركة MetaWhatsApp and Meta

يستقبل مساعدك تعليماتك ويراسلك عبر منصة واتساب للأعمال، وهي منصة مملوكة لشركة Meta ولسنا تابعين لها ولا نمثّلها. ويترتب على ذلك ما يأتي، ونذكره لك بصراحة: Your assistant takes your instructions and messages you over the WhatsApp Business Platform, which is owned by Meta. We are not affiliated with Meta and do not represent it. That has the following consequences, which we state plainly:

• استخدامك لواتساب نفسه يخضع لشروط Meta وسياساتها، لا لشروطنا. Your use of WhatsApp itself is governed by Meta's terms and policies, not ours.
• باشتراكك تمنحنا إذناً بمراسلتك على واتساب وعلى بريدك الإلكتروني بخصوص الخدمة. ويمكنك سحب هذا الإذن في أي وقت، وسحبه ينهي الخدمة عملياً لأن مساعدك يستقبل تعليماتك ويراسلك عبر واتساب. By subscribing you give us permission to message you on WhatsApp and by email about the service. You can withdraw that permission at any time; doing so effectively ends the service, because WhatsApp is where your assistant takes your instructions and messages you.
• إذا تغيّرت سياسات Meta أو انقطع وصولنا إلى المنصة، فقد تتأثر الخدمة أو تتوقف لأسباب خارجة عن إرادتنا. وفي هذه الحالة نخطرك ونردّ قيمة المدة غير المستخدمة. If Meta's policies change or our access to the platform ends, the service may be affected or stop for reasons outside our control. If that happens we will tell you and refund the unused portion.

٩التزاماتكYour responsibilities

عند استخدام «نِظامي»، تلتزم بألّا:When using Nithami, you agree not to:

• تستخدم الخدمة في أي غرض مخالف لأنظمة المملكة العربية السعودية أو للآداب العامة. Use the service for any purpose contrary to the laws of Saudi Arabia or to public morals.
• تُدخل بيانات شخصية تخصّ أشخاصاً آخرين دون صلاحية أو موافقة منهم. Enter other people's personal data without their authority or consent.
• تحوّل إلى مساعدك مراسلات، أو تربطه بحساب أو تقويم، لا يحق لك مشاركته. فالمراسلات التي تحوّلها تتضمن غالباً بيانات أشخاص آخرين، وأنت مسؤول عن أن يكون لك حق مشاركتها. Forward to your assistant correspondence, or connect it to an account or calendar, that you are not entitled to share. Forwarded correspondence usually contains other people's personal data, and you are responsible for being entitled to share it.
• تعيد بيع الخدمة أو تشاركها مع غيرك أو تستخدمها لتشغيل خدمة منافسة. Resell the service, share it with others, or use it to run a competing service.
• تستخدم وسائل آلية لاستخراج المحتوى أو تتحايل على حدود الاستخدام أو تحاول الوصول غير المصرّح به لأنظمتنا. Use automated means to extract content, circumvent usage limits, or attempt unauthorised access to our systems.
• تنتحل صفة غيرك أو تزوّد الخدمة ببيانات غير صحيحة. Impersonate anyone or give the service false information.

وتلتزم كذلك بالحفاظ على سرية وصولك إلى رقمك وبريدك الإلكتروني، وبإخطارنا إن فقدت السيطرة على أي منهما. You also agree to keep access to your number and your email secure, and to tell us if you lose control of either.

١٠توافر الخدمةAvailability

نبذل عناية معقولة لإبقاء الخدمة متاحة، لكننا لا نَعِد بأنها ستعمل دون انقطاع أو خطأ. قد نُجري صيانة مجدولة ونخطرك بها مسبقاً متى أمكن. وقد تنقطع الخدمة لأسباب خارجة عن إرادتنا مثل أعطال الشبكات أو مزوّدي الخدمة أو منصة واتساب. We take reasonable care to keep the service available, but we do not promise it will run uninterrupted or error-free. We may carry out scheduled maintenance and will give you notice where we can. The service may also be interrupted by matters outside our control, such as network, provider or WhatsApp platform failures.

١١الإيقاف والإنهاءSuspension and termination

يجوز لنا إيقاف الخدمة أو إنهاؤها في الحالات الآتية فقط: We may suspend or end the service only in these cases:

• مخالفة جوهرية لهذه الشروط، بعد إخطارك ومنحك فرصة معقولة للتصحيح ما لم تكن المخالفة جسيمة. A material breach of these terms, after notice and a reasonable chance to put it right, unless the breach is serious.
• عدم سداد الاشتراك بعد التذكير والمهلة. Non-payment after a reminder and a grace period.
• اشتباه مسبّب في احتيال أو إساءة استخدام. Reasonably suspected fraud or abuse.
• التزام نظامي أو أمر من جهة مختصة. A legal obligation or an order from a competent authority.

وإذا أنهينا اشتراكك لغير مخالفة منك، رددنا قيمة المدة غير المستخدمة. ويمكنك أنت إنهاء الاشتراك في أي وقت دون سبب. If we end your subscription for anything other than your breach, we refund the unused portion. You may end your subscription at any time, for any reason or none.

١٢المسؤوليةLiability

نتحمّل مسؤوليتنا عمّا نتسبب فيه، ونضع لها حدوداً عادلة: We accept responsibility for what we cause, and we set fair limits on it:

• نُسأل عن الضرر الذي كان متوقعاً وقت التعاقد وناتجاً مباشرةً عن إخلالنا. We are liable for loss that was foreseeable at the time of contracting and that flows directly from our breach.
• يبلغ الحد الأقصى الإجمالي لمسؤوليتنا عن أي مطالبة ما دفعتَه فعلياً خلال الاثني عشر شهراً السابقة للمطالبة، أو ١٬٠٠٠ ريال سعودي، أيهما أكبر. Our total aggregate liability for any claim is the greater of what you actually paid in the twelve months before the claim, or SAR 1,000.

ونظراً لما ورد في البند ٧، فإننا لا نتحمّل المسؤولية عن نتائج اعتمادك على معلومة من «نِظامي» في أمر مهم دون التحقق منها من مصدرها الرسمي. Given what section 7 says, we are not responsible for the consequences of relying on something Nithami told you about an important matter without checking it against its official source.

١٣الملكية الفكريةIntellectual property

اسم «نِظامي» وشعاره وتصميم الموقع والبرمجيات التي تقوم عليها الخدمة مملوكة لنا. ولا يمنحك اشتراكك سوى حق استخدام شخصي غير حصري وغير قابل للتحويل طوال مدة اشتراكك. The Nithami name, logo, website design and the software behind the service belong to us. Your subscription gives you only a personal, non-exclusive, non-transferable right to use the service for as long as you subscribe.

ما ترسله يبقى لك. محتوى رسائلك ملكك، ونستخدمه فقط لتشغيل الخدمة ولتحسين دقتها لاستخدامنا الداخلي، وفق ما هو موضّح في سياسة الخصوصية. What you send stays yours. The content of your messages is yours. We use it only to operate the service and to improve its accuracy for our internal use, as explained in the Privacy Policy.

١٤تعديل الشروطChanges to these terms

قد نعدّل هذه الشروط. وعند أي تعديل جوهري، كتغيير السعر أو نطاق الخدمة أو حدود المسؤولية، نخطرك قبل ٣٠ يوماً على الأقل بالبريد الإلكتروني أو عبر واتساب، ونطلب موافقتك الصريحة عليه. ولا نعتبر مجرد استمرارك في الاستخدام موافقةً على تعديل جوهري. وإن لم توافق، يمكنك الإلغاء قبل سريان التعديل دون أي رسوم، مع ردّ قيمة المدة غير المستخدمة. We may amend these terms. For any material change (price, the scope of the service, or the liability limits) we will give you at least 30 days' notice by email or WhatsApp and ask for your express agreement. We do not treat your continued use alone as acceptance of a material change. If you do not agree, you may cancel before it takes effect at no cost, with a refund of the unused portion.

١٥النظام الواجب التطبيق والشكاوىGoverning law and complaints

تخضع هذه الشروط وتُفسَّر وفقاً لأنظمة المملكة العربية السعودية، وتختص المحاكم السعودية بالنظر في أي نزاع ينشأ عنها. These terms are governed by and interpreted under the laws of the Kingdom of Saudi Arabia, and the Saudi courts have jurisdiction over any dispute arising from them.

إن كانت لديك شكوى، ابدأ معنا على info@nithami.ai، ونسعى للردّ خلال خمسة أيام عمل. ويبقى لك في كل الأحوال حق اللجوء إلى الجهات الآتية، ولا تُسقط هذه الشروط هذا الحق: If you have a complaint, start with us at info@nithami.ai. We aim to reply within five working days. You always keep the right to go to the following bodies, and nothing in these terms takes that away:

١٦اللغةLanguage

حُرّرت هذه الشروط بالعربية والإنجليزية. النص العربي هو النص المعتمد والملزم نظاماً، والنسخة الإنجليزية ترجمة للتيسير فقط. وعند أي اختلاف بينهما، يُعتدّ بالنص العربي. These terms are published in Arabic and English. The Arabic text is the authoritative and legally binding version; the English is a convenience translation only. In the event of any discrepancy, the Arabic text prevails.
